Terms of service

These terms are an agreement between you (or the organisation you sign up for) and Mailrail ("we", "us") for your use of Mailrail, the email sending service at mailrail.io, its dashboard, API and SMTP relay (the "service"). By creating an account you agree to these terms, to the acceptable use policy, and to the privacy policy.

1. Accounts

• You must give accurate details and keep them current. If you sign up for an organisation, you confirm you may bind it to these terms.
• You are responsible for everything done with your account, its API keys and SMTP credentials. Keep them secret and revoke any you think have leaked.
• You must be at least 18, and you may not use the service if the law where you are, or our sanctions obligations, forbid it.

2. Approval and sending limits

• A new workspace cannot send until we approve it. We may ask for more information, approve with limits, or decline, at our discretion.
• Each workspace has a daily sending limit. It starts low and rises with clean sending. We may lower a limit, pause campaigns or stop sending at any time to protect deliverability for all customers.

3. Your content and your recipients

• You own the content, contacts and data you put into the service ("customer data"). You give us the rights we need to store, process and send it to provide the service.
• You are the sender of every message and are responsible for it, for having permission to email each recipient, and for complying with the acceptable use policy and the laws that apply to you.
• For personal data of your recipients, you are the controller and we process it only on your instructions, as described in the privacy policy. We will sign a data processing agreement on request.

4. Fees

Paid plans are billed in advance at the prices shown when you subscribe, plus applicable taxes. Fees are not refundable except where the law requires. We will give at least 30 days' notice of a price change, which applies from your next billing period.

5. Suspension and termination

• You may stop using the service and close your account at any time.
• We may suspend or limit the service right away if you break these terms or the acceptable use policy, if your account puts the service or other customers at risk, or if the law requires it. We may end these terms with 30 days' notice for any other reason.
• After your account closes we delete customer data within 90 days, except what we must keep by law or to handle abuse reports. Export what you need before you close it.

6. The service

We work to keep the service available and your mail delivered, but email depends on mailbox providers we do not control. We do not guarantee that any message will be delivered, land in the inbox, or arrive by a certain time. We may change or improve the service; if we remove a feature you pay for, we will tell you in advance.

7. Disclaimer and liability

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim, or US$100 if that is more.

8. Indemnity

You will defend and indemnify us against claims by third parties that arise from the email you send, your customer data, or your breach of these terms or the acceptable use policy.

9. Changes

We may update these terms. For material changes we will email account owners at least 30 days before they take effect. Using the service after that means you accept the new terms.

10. General

These terms are governed by the laws of the Province of Ontario, Canada, and disputes go to its courts. If a part of these terms cannot be enforced, the rest still applies. These terms, the acceptable use policy and the privacy policy are the whole agreement between us about the service.
